Regulatory Disclosure
As the sole contracting party, AMIXY enters into usage agreements for computing capacity under Swiss law: the ECA (Energy and Compute Allocation). These do not constitute securities, financial instruments, collective investment schemes, or any regulated financial products under applicable law, and must not be relied upon as such.
Nature of the ECA (Energy and Compute Allocation)
The ECA is a usage agreement between Amixy Suisse AG and its client for firmly allocated computing capacity for the client's own needs. Each agreement sets out, in particular, the scope, term, price and availability of the capacity as well as responsibilities for operation and maintenance. The ECA confers no ownership of hardware, no equity participation and no claim to repayment. It is not tradeable, not listed on any exchange, and transferable only where expressly agreed in the contract. It does not represent equity, debt, units in a collective investment scheme, or any form of security as defined under the Swiss Financial Services Act (FIDLEG) or the Swiss Collective Investment Schemes Act (KAG).
Regulatory Status
Amixy Suisse AG is not a bank, securities dealer, fund manager, or any other category of financial intermediary subject to prudential supervision by the Swiss Financial Market Supervisory Authority (FINMA). The company's accounting, audit, and regulatory compliance are managed by bonnefouspartners, a Swiss fiduciary group established in Geneva in 1934.
No Offer or Solicitation
Nothing on this website constitutes an offer, solicitation, or recommendation to enter into an ECA or to purchase or sell any financial instrument. The information provided is for informational purposes only and does not constitute investment advice, a recommendation, or an offer to enter into any transaction. No reliance should be placed on such information. The website is intended for companies, institutions and energy and infrastructure partners acting in a professional capacity. An agreement is concluded only after a personal conversation and direct review, and is subject to approval by Amixy Suisse AG.
No Expectation of Profit
Entering into an ECA does not create any expectation of profit, return, or financial performance. The ECA is a usage agreement for computing capacity for the client's own needs, not an investment product. Capacity availability, deployment timing and operational performance depend on technical, commercial, regulatory and site-specific conditions that are inherently variable and outside the control of any single party.
Illustrative Data
Any figures, market references, capacity indications, infrastructure descriptions or third-party report references displayed on this website are provided for general informational context only. They do not represent actual, historical or projected results of any ECA. No representation or warranty is made regarding the accuracy, reliability, completeness or future applicability of any such information.
Risk Disclosure
An ECA involves inherent risks, including but not limited to site conditions, energy availability, technical performance, regulatory changes, performance of the contracting parties and operational factors. No guarantees are made regarding capacity availability, deployment timing, performance, or continuity. Specific risks include:
- Infrastructure and operational risk: physical assets may underperform, experience downtime, or be affected by regulatory changes.
- Commercial and capacity risk: energy availability, infrastructure costs, deployment conditions and demand for compute capacity may change materially.
- Technology risk: hardware, software, and network infrastructure may fail or become obsolete.
- Regulatory risk: changes in Swiss or international regulations may affect the viability or terms of ECA agreements.
- Contractual partner risk: the ability of Amixy Suisse AG to fulfil its contractual obligations.
- Transferability risk: the ECA is a private agreement and is transferable only where expressly agreed.
Potential clients should conduct their own independent assessment and seek professional legal, tax, technical and financial advice before entering into an ECA.
Tax Responsibility
Potential clients are solely responsible for assessing the tax implications of an ECA in their respective jurisdiction. Amixy Suisse AG does not provide tax advice and makes no representations regarding the tax treatment of an ECA.
